General

The Client : The company or individual requesting the services of JuggleFrogs

JuggleFrogs agrees to keep the business affairs and information of the Client confidential except where necessary for execution of services, as agreed.
JuggleFrogs will take every reasonable care to ensure freedom from errors of any work undertaken for the Client. The Client warrants the understanding and acceptance that, as it is not possible to guarantee computer software products are absolutely error free, the Client accepts unconditionally that JuggleFrogs do not warrant that a website or other software (or any part of it) is error free or that use of it will be uninterrupted and that JuggleFrogs will not be liable for any loss or damage incurred by the Client, whether direct or indirect (including, without limitation, loss of profit) and whether arising in contract or otherwise.
The Client may agree additional work at any stage with JuggleFrogs. This may be subject to additional fees as agreed at the time.
The Client understands that JuggleFrogs may use the published website as a reference site for future potential clients of JuggleFrogs and will not unreasonably withhold permission for this.

Design, Build & Content

The Client will provide JuggleFrogs with all information and assistance reasonably required for the completion of the website including content, images and logos within agreed timescales.
JuggleFrogs costs are based on an estimated duration for design. If design consultation needs extend beyond a reasonable duration, as decided by JuggleFrogs, a charge will be made based on £350 per day. Should this occur, the Client will be be given prior notice to allow additonal costs to be prevented or at least minimised.
The design of the website remains the property of JuggleFrogs and JuggleFrogs may use any aspect of the site design or coding for other clients. The client may adopt aspects of the design in other media including print with the permission of JuggleFrogs which will not be unreasonably withheld.
The Client agrees to take adequate measures to ensure their website or any system operated or provided by JuggleFrogs is not used for transmission of computer viruses, any material that is obscene, defamatory, abusive, indecent, or illegal, nor used in a manner creating a violation or infringement of the rights of any person, firm, company or other entity.

Hosting, Domain & Email Services

The Client commissions JuggleFrogs to provide hosting, domain registration and email service.
Whilst JuggleFrogs offers solutions for hosting of websites through a third party hosting company, no guarantees can be made as to the availability or interruption of this service by JuggleFrogs and cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service.
JuggleFrogs quoted hosting and other service fees apply to the initial or next 12 month period only unless otherwise specified. Where it becomes necessary to increase fees in subsequent years, JuggleFrogs will normally provide at least one months notice of any proposed increase. Current price for 2nd year and onwards is £99 +VAT.
Where JuggleFrogs provides the Client with e-mail facilities, web hosting or other services which involve the provision of computer storage space, JuggleFrogs reserves the right to impose limits on the storage space and bandwidth provided. Such limits may be by reference to the physical amount of space made available, the number of e-mail messages held, the size of any attachments sent or any other method JuggleFrogs may specify. JuggleFrogs reserves the right to vary these limits from time to time and will keep the Client informed by e-mail. JuggleFrogs reserves the right to refuse to accept material and/or to delete material which exceeds the relevant limit.
JuggleFrogs reserves the right to suspend the hosting and / or other services at its absolute discretion for the purpose of maintenance, improvement, repair or prevention of problems.

Web Support

Guaranteed web support will be online and at a reasonable duration as specified by JuggleFrogs. JuggleFrogs may agree to additional support by telephone at JuggleFrogs discretion.
JuggleFrogs will provide full online guidance for the content management of the Client's website. Not all areas of the website are editable but the Client can request changes to these at an agreed additional cost specified by JuggleFrogs. The Client is responsible for all changes they make through the content management system, JuggleFrogs cannot be held responsible for loss of content once the website is live.

Search Engine Optimisation

The website will be set up with basic SEO capabitilies. Should any extra SEO be required, it will be agreed subject to payment.

Website Analysis

JuggleFrogs cannot guarantee the accuracy of reporting provided by Google Analytics. This is an application owned by Google and is therefore outside of JuggleFrog's control.

Information and Training Material

JuggleFrogs will take all reasonable care in the accuracy and reliability of information and advice, however responsibility for subsequent actions and outcomes remain with the reader at all times.
